Mission
The Governance and Nominations Committee’s role is to ensure that board-level policies are complete and adequately generated and ensure governance continuity by facilitating the succession process for the board.
Structure
A board member chairs the committee and comprises at least three other ACMG members in good standing.
The committee may also include a non-member with governance experience. The ACMG President and Executive
Director are ex-officio members.
Authority
The committee has the authority to recommend draft policies to fill governance gaps and to make suggestions
on the format and content of all policies. It also has the authority to conduct annual reviews of committee
performance. The committee reports directly to the board through the committee chair. (Active Advisor Level)
Roles and Responsibilities:
- Periodically examine bylaws to ensure clarity and completeness
- Collaborate with the ED on revising or drafting new bylaws and policies as needed
- Regularly inspect the existing policy handbook to determine if there are policy gaps
- Conduct an annual review of committee performance and provide a report to the board
- Identify the board positions up for election in any given year at least eight months before the election
- Advertise the board positions up for election to the membership and the public at least three months before the election
- Provide written information on board responsibilities to all potential candidates
- Respond to questions from interested candidates
- Provide candidate information to the admin team to create an online voting package
- Arrange the online candidate forum
- Summarize election results for the ACMG Frequency
- Provide onboarding materials to new board members
- Provide the board a summary of committee activities two weeks before meetings
- Provide a budget submission to the Executive Director when requested and administer the approved portion of the budget that pertains to this committee
- Recruit new members as necessary
