Executive Committee

The Executive Committee facilitates decision-making between board meetings or in urgent and crisis circumstances. It also acts as the communication link to the Executive Director and conducts the Executive Director's performance evaluation.

Mission

The Executive Committee facilitates decision-making between board meetings or in urgent and crisis circumstances. It also acts as the communication link to the Executive Director and conducts the Executive Director’s performance evaluation.

 

Structure

The board shall appoint the executive committee members, consisting of the president, vice president, secretary, treasurer, and up to two other board members. Other board members can be added as required.

 

Authority

The Executive Committee must work within the ACMG bylaws and report to and is accountable to the full Board (Active Agent).
1. Formal decisions of the Executive Committee that bind the ACMG must be determined by way of a formal vote by the Executive Committee members, which must be recorded.

2. All formal decisions of the Executive Committee will be brought before the ACMG board at its next meeting for review and approval, variation, or rescission.

 

Roles and Responsibilities:

  • Coordinate the board’s review of the Executive Director performance and compensation
  • Serve as a smaller sounding board for the Executive Director
  • Focus on the board’s work
  • Set goals and develop an agenda
  • Coordinate the work of the entire board
  • Manage board functions in an emergency
  • Conduct an annual review of committee performance and provide a report to the board
